Services Provided
The Service Provider shall deliver the following specialised IT services to the Client:

a. IT Consulting Services:
Evaluating the Client's current IT infrastructure, identifying improvement areas, and strategising to enhance their technology ecosystem. -
b. Tech Support Services:
Providing timely technical assistance, including remote and on-site support, to address software and hardware issues, ensuring minimal downtime and optimal productivity. -
c. Software Development Services:
Designing and developing custom software solutions tailored to meet the Client's specific needs, utilising the latest technology for web applications, mobile apps, and enterprise software platforms.
Service Level Agreement (SLA)
Performance standards, including uptime guarantees, response times, and specific service level commitments, will be detailed in a separate SLA document or appendix. This document will be mutually agreed upon by both Parties and incorporated herein by reference.
Term
This Agreement shall take effect from the date specified within the agreed-upon SLA and will continue unless terminated earlier in accordance with the terms outlined herein. Following the initial term, this Agreement shall automatically renew for successive periods unless terminated by either Party with written notice prior to the end of the current term.
Fees and Payment
The Client agrees to compensate the Service Provider as per the terms outlined in a separate agreement, quotation, or as specified within the SLA. Should payments be delayed, the Service Provider reserves the right to suspend or discontinue services until the outstanding payment is received.
Confidentiality
Both Parties commit to maintaining the confidentiality of proprietary or sensitive information acquired in the course of service provision. This encompasses business strategies, trade secrets, customer details, and any other data deemed confidential.
Intellectual Property Ownership
Unless explicitly agreed otherwise, any intellectual property conceived, developed, or utilised by the Service Provider in the provision of services remains the property of the Service Provider.
Limitation of Liability
The Service Provider's liability for claims or damages related to this Agreement is limited to the total amount paid by the Client to the Service Provider, to the fullest extent permitted by law.
Termination
This Agreement may be terminated by either Party in the event of a material breach by the other, provided the breaching Party is given written notice and fails to rectify the breach.
Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of Hong Kong. Any disputes arising from or related to this Agreement shall fall under the exclusive jurisdiction of Hong Kong's courts.
Entire Agreement
This Agreement, alongside the Terms and Conditions and Privacy Policy of Journey IT Solutions, constitutes the full agreement between the Parties, superseding all prior agreements, proposals, or representations, whether oral or written.
